Terms of Service
1. About CEO Capital
CEO Capital is an online marketplace and technology platform that connects independent sellers and suppliers (“Sellers”) with their customers (“Buyers”). By accessing or using the platform, you agree to these Terms of Service.
2. Our role
CEO Capital provides software, checkout tools, dashboards and reporting, and facilitates payments through licensed third-party payment providers. We are a technology and marketplace provider — not a bank, not a payment institution, and not a party to the contract of sale between a Seller and a Buyer.
3. Sellers are the merchant of record
Each Seller is solely responsible for its own products, pricing, descriptions, fulfilment, delivery, taxes and customer service, and is the merchant of record for its sales. CEO Capital does not own, buy, sell, store or ship any products.
4. Payments
Payments are processed and settled by regulated third-party payment providers such as Stripe. Funds from a Buyer’s purchase settle to the relevant Seller through the payment provider. Where technically applicable, our platform fee is deducted automatically. CEO Capital does not hold Buyer or Seller funds on its own accounts, other than fees owed to us.
5. Platform fee
CEO Capital charges Sellers a service fee for the use of the platform. The fee is disclosed to the Seller before it applies.
6. Verification and Seller obligations
Sellers must provide accurate information, complete the identity verification (KYC) required by our payment providers, and comply with all applicable laws. We may request documentation and may suspend accounts that fail verification or compliance checks.
7. Prohibited products and activities
The platform may not be used to sell counterfeit, replica or illegal goods, or for fraud, money laundering, intellectual-property infringement, or any activity prohibited by applicable law or by our payment providers. Violations may result in immediate suspension.
8. Refunds, returns and chargebacks
Refunds and returns are governed by our Refund Policy and are primarily the responsibility of the Seller. Chargebacks and payment disputes are handled through the payment provider’s process.
9. Disclaimers and liability
The platform is provided “as is”. To the maximum extent permitted by law, CEO Capital is not liable for the products, conduct or obligations of Sellers or Buyers, nor for any indirect or consequential loss. Nothing in these Terms limits liability that cannot be excluded by law.
10. Suspension and termination
We may suspend or terminate access for breach of these Terms, for legal or compliance reasons, or at the request of our payment providers or competent authorities.
11. Governing law
These Terms are governed by the laws of the Netherlands. Disputes will first be addressed amicably and, failing that, submitted to the competent courts of the Netherlands.
